Welcome to Brandexa (“Platform”, “we”, “us”, or “our”). The Platform is a SaaS-based digital commerce and business-management solution that enables businesses, brands, product sellers, service providers, and delivery partners to establish and manage their digital presence.
By accessing or using the Platform, you agree to these Terms & Conditions (“Terms”). If you do not agree with these Terms, you should not use the Platform.
01About the Platform
Our Platform enables businesses to create and manage digital business profiles and branded online experiences, including:
- Product-based businesses
- Service-based businesses
- Delivery partners
- Product catalogues
- Service catalogues
- Brand-specific landing pages
- Product and service management
- Customer enquiries and orders
- Business information and contact details
- Digital marketing and promotional content
- Other business-management features introduced from time to time
The Platform may support businesses selling products such as jewellery, cakes, bakery products, sneakers, watches, gifts, fashion products, handicrafts and other permitted goods.
It may also support service businesses such as AC services, cleaning, electricians, laptop/computer services, salons, repair services and other permitted services.
02Business/Brand Accounts
Businesses using the Platform (“Business Users”) are responsible for providing accurate and complete information.
A Business User may create one or more brands, stores, product categories or service categories depending on the subscription plan.
The Business User is responsible for:
- Account credentials
- Business information
- Product information
- Service information
- Pricing
- Availability
- Images and descriptions
- Taxes
- Customer communication
- Order fulfilment
- Returns/refunds
- Warranty obligations
- Applicable licences and registrations
We may request verification documents where reasonably necessary.
03Multiple Brands and Landing Pages
The Platform may allow a Business User to create separate landing pages for individual brands.
Each landing page may contain:
- Brand name
- Logo
- Brand description
- Products
- Services
- Pricing
- Contact information
- Business location
- Offers/promotions
- Social media links
- Customer enquiry/order options
The Business User represents that it has the necessary rights to use all brand names, logos, images, trademarks and other intellectual property uploaded to the Platform.
04Product Management
Business Users may create, modify, publish, deactivate or delete product listings.
Product information may include:
- Product name
- Images
- Description
- Price
- SKU
- Variants
- Size
- Colour
- Availability
- Stock
- Category
- Brand
- Offers
Business Users are solely responsible for ensuring that their products are lawful and accurately represented.
05Service Management
Service providers may create and manage service listings including:
- Service name
- Description
- Service area
- Pricing
- Availability
- Service duration
- Images
- Terms of service
- Contact information
Service providers are responsible for the quality, legality and fulfilment of their services.
06Delivery Partners
The Platform may allow independent delivery partners to register and provide delivery services.
Delivery partners may receive information necessary to fulfil an assigned delivery, which may include:
- Customer name
- Delivery address
- Contact information
- Order information
- Pickup location
Delivery partners are independent service providers unless expressly stated otherwise.
The Platform does not automatically guarantee delivery performance, timing or availability.
07Orders and Transactions
Depending on the Platform configuration, customers may:
- Browse products/services
- Submit enquiries
- Request quotations
- Place orders
- Schedule services
- Request delivery
- Make payments
Unless explicitly stated otherwise, the Business User is the seller/service provider responsible for the transaction.
We may provide the technology infrastructure for facilitating transactions but are not necessarily the seller, manufacturer, service provider or delivery provider.
08Pricing and Payments
Business Users are responsible for maintaining accurate prices.
Applicable taxes, delivery charges, service charges and other fees must be disclosed where required by law.
Where online payments are enabled, payments may be processed through third-party payment providers.
We do not store complete card, CVV or other sensitive payment credentials unless specifically disclosed and legally permitted.
09Subscription and SaaS Fees
Certain Platform features may require a paid subscription.
Subscription plans may differ based on:
- Number of brands
- Number of products
- Number of services
- Storage
- Users
- Orders
- Delivery features
- Analytics
- Marketing tools
- Other functionality
Subscription fees, billing periods and applicable taxes will be displayed before purchase.
We reserve the right to modify pricing for future billing periods with reasonable notice.
10Customer Responsibilities
Customers using the Platform must:
- Provide accurate information
- Use the Platform lawfully
- Not misuse business accounts
- Not submit fraudulent orders
- Not impersonate another person
- Not attempt unauthorized access
- Not upload malicious content
- Not interfere with Platform operations
11Prohibited Products and Services
Users may not sell, advertise or facilitate products/services that violate applicable law or our policies.
Prohibited categories may include:
- Illegal drugs
- Weapons and prohibited items
- Counterfeit goods
- Stolen goods
- Fraudulent products/services
- Illegal financial services
- Adult content where prohibited
- Products requiring licences that the Business User does not possess
- Any product prohibited under applicable Indian law
We reserve the right to remove listings or suspend accounts where violations are suspected.
12Intellectual Property
The Platform, including its software, interface, design, logos, trademarks, databases and underlying technology, belongs to [Brandexa Technologies Pvt. Ltd.] or its licensors.
Business Users retain ownership of content they upload.
By uploading content, Business Users grant us a limited licence to host, process, display and technically reproduce that content for operating and providing the Platform.
13User-Generated Content
Users must not upload content that:
- Infringes copyright
- Infringes trademarks
- Violates privacy
- Is defamatory
- Is fraudulent
- Contains malware
- Violates applicable law
We may remove content that violates these Terms.
14Availability of Platform
We aim to maintain reliable Platform availability but do not guarantee uninterrupted or error-free operation.
Services may occasionally be unavailable because of maintenance, updates, cloud-provider failures, network problems, security incidents, force majeure or third-party service interruptions.
15Third-Party Services
The Platform may integrate with third-party services including payment gateways, WhatsApp or communication services, maps, cloud services, analytics, SMS/email providers, authentication providers and delivery services.
Third-Party services may have their own terms and privacy policies.
16Data and Privacy
Our collection and processing of personal information is governed by our Privacy Policy.
Business Users are responsible for ensuring that information they provide to the Platform is collected and processed lawfully.
Where applicable, the Platform may act as a service provider/data processor on behalf of Business Users.
17Account Suspension
We may suspend or terminate an account if:
- The user violates these Terms
- Fraud is suspected
- Illegal activity is detected
- Subscription fees remain unpaid
- The account creates a security risk
- The user misuses the Platform
Where reasonably possible, we may provide notice before suspension.
18Limitation of Liability
To the maximum extent permitted by applicable law, [Brandexa Technologies Pvt. Ltd.] will not be responsible for indirect, incidental, special or consequential losses arising from use of the Platform.
We are not responsible for product quality, service quality, delivery performance, seller/customer disputes, incorrect product information, business losses caused by a Business User's actions or third-party service failures.
Nothing in these Terms excludes liability that cannot legally be excluded.
19Indemnification
Business Users agree to indemnify and hold harmless [Brandexa Technologies Pvt. Ltd.] from claims, losses, damages and expenses arising from:
- Their products/services
- Their violation of law
- Their violation of these Terms
- Intellectual-property infringement
- Fraudulent activities
- Customer disputes caused by their business activities
20Changes to the Platform
We may introduce new features, modify existing features or discontinue certain functionality.
We may also update these Terms periodically.
21Governing Law
These Terms shall be governed by the laws of India.
Subject to applicable law, disputes shall be subject to the jurisdiction of courts located in [Noida, Uttar Pradesh].
